These Vendor Terms & Conditions apply when a business, seller, creator, reseller,
or brand applies to become a vendor on TogoDeal. By submitting a vendor application,
you confirm that you have read, understood, and accepted these terms.
1. About TogoDeal
TogoDeal is a social-commerce and multi-channel commerce platform designed to help
approved vendors prepare, manage, and submit product information for supported sales channels.
TogoDeal may provide vendor onboarding, product catalog tools, channel readiness workflows,
product request handling, and access to vendor portal features.
TogoDeal does not guarantee that any vendor, product, listing, shop, or marketplace account
will be approved, published, promoted, sold, or accepted by any third-party sales channel.
2. Vendor responsibility
As a vendor, you are responsible for the accuracy, legality, and completeness of all information
you submit to TogoDeal, including business information, product descriptions, product images,
prices, stock, categories, attributes, shipping information, tax information, customs information,
and intellectual property rights.
You agree not to submit false, misleading, illegal, unsafe, copied, infringing, restricted,
or prohibited content.
3. Product compliance
You are responsible for ensuring that your products comply with all applicable laws, regulations,
marketplace rules, consumer protection rules, safety requirements, labeling requirements,
and intellectual property laws.
TogoDeal may review, reject, hide, remove, suspend, or request changes to any product or vendor
application at any time.
4. No guarantee of approval or sales
Submitting an application does not guarantee approval as a TogoDeal vendor. Approval as a vendor
does not guarantee that your products will be approved, published, promoted, listed on third-party
platforms, or sold.
5. Third-party platforms and marketplaces
TogoDeal may support workflows connected to external platforms, marketplaces, or social commerce
channels. Each third-party platform has its own rules, requirements, review process, fees,
restrictions, and account policies.
TogoDeal is not responsible for decisions made by third-party platforms, including account
suspension, product rejection, listing removal, restricted visibility, advertising rejection,
payment holds, or marketplace enforcement actions.
6. Vendor content and permission to use
By submitting product information, images, descriptions, documents, or other materials, you confirm
that you have the legal right to use and share that content. You grant TogoDeal permission to store,
review, process, display, adapt, and use submitted content for vendor onboarding, product management,
channel readiness, marketplace preparation, marketing review, and related platform operations.
7. Orders, customers, shipping, and returns
Unless otherwise agreed in writing, the vendor remains responsible for product fulfillment, product
quality, customer-related obligations, shipping accuracy, returns, refunds, warranties, and any
product-related claims.
TogoDeal is not responsible for losses, disputes, penalties, or claims caused by inaccurate product
data, delayed fulfillment, defective products, restricted products, supplier issues, or vendor
non-compliance.
8. Fees, payments, and taxes
Any fees, commissions, payouts, or payment terms must be agreed separately or shown in the vendor
portal. Vendors are responsible for their own taxes, accounting, business registrations, invoices,
VAT, customs obligations, and other financial or legal duties.
9. Account access and security
You are responsible for keeping your login credentials secure. TogoDeal may suspend or restrict access
if we detect suspicious activity, misuse, policy violations, security concerns, or incomplete verification.
10. Limitation of responsibility
To the maximum extent permitted by law, TogoDeal is not responsible for indirect losses, lost profits,
lost sales, marketplace decisions, third-party platform actions, supplier issues, product defects,
legal claims caused by vendor content, or losses caused by inaccurate or incomplete information
submitted by the vendor.
TogoDeal provides platform tools and onboarding support, but the vendor remains responsible for its own
products, business operations, legal compliance, and customer obligations.
11. Changes to these terms
TogoDeal may update these Vendor Terms & Conditions from time to time. Continued use of the vendor
platform after changes means you accept the updated terms.
